1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zekko Technologies Ltd. ("Company," "we," "us," or "our") governing your access to and use of the Zekko Inspection website located at zekkoinspection.zekkotech.com (the "Website") and the Zekko Inspection mobile application (the "Application") (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Services under applicable law
• All information you provide is accurate, current, and complete
• You will maintain the accuracy of such information

3. Account Registration

To access certain features of the Services, you must create an account. You agree to:

• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

4. Subscription and Payment

4.2 Payment Terms

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• You authorize us to charge your payment method at the beginning of each billing cycle
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as expressly stated in these Terms
• You are responsible for all applicable taxes
• Failed payments may result in service suspension or termination

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of the current billing period. No refunds will be provided for partial months or years, except as required by law.

4.4 Early Bird Discount

Early bird pricing is available for a limited time. We reserve the right to modify or discontinue promotional pricing at any time. Existing subscribers will maintain their promotional rate for the duration specified in their subscription terms.

5. Acceptable Use

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal or unauthorized purpose
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm others through the Services

• Collect or harvest information from other users
• Use automated systems (bots, scrapers) without permission
• Reverse engineer, decompile, or disassemble the Services

6.3 User Content

You retain ownership of content you create using the Services (inspection reports, photos, notes). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your content solely to provide and improve the Services.

You represent and warrant that you own or have the necessary rights to all content you submit and that such content does not violate any third-party rights.

7. AI and Automated Features

Our Services include AI-powered features to assist with inspections and report generation. You acknowledge and agree that:

• AI suggestions are for informational purposes only and should not replace professional judgment
• You are solely responsible for verifying all information in inspection reports
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• AI features may use your data to improve algorithms (in accordance with our Privacy Policy)
• You remain professionally liable for all inspection work and reports

8. Third-Party Services

The Services may integrate with or link to third-party services (payment processors, cloud storage, analytics). We are not responsible for third-party services or their terms and policies. Your use of third-party services is at your own risk.

9. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to our collection and use of your information as described in the Privacy Policy.

You are responsible for maintaining backups of your data. While we implement backup procedures, we are not liable for any data loss.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY

• NON-INFRINGEMENT
• ACCURACY, RELIABILITY, OR AVAILABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM VIRUSES

WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEKKO TECHNOLOGIES LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR USE
• BUSINESS INTERRUPTION
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA
• DAMAGES ARISING FROM ERRORS, OMISSIONS, OR INACCURACIES IN CONTENT

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zekko Technologies Ltd., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or inspection reports
• Your negligence or willful misconduct

13. Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription through account settings or contacting us.

13.2 Termination by Us

We may suspend or terminate your access to the Services immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Conduct that harms the Services or other users
• Any reason at our sole discretion

13.3 Effect of Termination

Upon termination:

• Your right to access the Services immediately ceases
• We may delete your account and data after a reasonable period
• You remain liable for all fees incurred prior to termination
• Provisions that by their nature should survive will continue (including limitations of liability, indemnification, and dispute resolution)

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at hello@zekkotech.com to attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration Agreement

Any dispute arising from or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property infringement.

Arbitration will be conducted under the rules of a recognized arbitration organization. The arbitrator's decision will be final and binding.

14.3 Class Action Waiver

YOU AND ZEKKO TECHNOLOGIES LTD. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

14.4 Governing Law and Venue

These Terms are governed by the laws of the jurisdiction where Zekko Technologies Ltd. is registered, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought in the courts of that jurisdiction.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Website and updating the "Effective Date." Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

16. Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access. The Services may be unavailable due to:

• Emergency maintenance
• Technical issues
• Third-party service disruptions
• Force majeure events

We are not liable for any loss or damage resulting from service unavailability.

17. Export Controls

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, labor disputes, or internet/telecommunications failures.
